PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE CURRICULUM EXCHANGE. By accessing, browsing, creating an account, posting listings, or otherwise using The Curriculum Exchange ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

About The Curriculum Exchange

The Curriculum Exchange ("The Curriculum Exchange," "Platform," "we," "us," or "our") is an online marketplace listing service operated as a DBA of Elite Imaging Group LLC, a California limited liability company. The Platform provides a place for homeschool families and individuals to buy, sell, trade, and discover used homeschool curriculum and educational materials. IMPORTANT: The Curriculum Exchange is a listing platform ONLY. We do not buy or sell items ourselves, own inventory, take possession of listed items, inspect products, guarantee transactions, process payments between users, ship or deliver items, or verify the identity of users. All transactions occur directly between buyers and sellers.

Acceptance of Terms

By using the Platform, you agree to these Terms of Service, our Privacy Policy, and all applicable laws and regulations. We reserve the right to update or modify these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

Marketplace Listing Service Only

The Curriculum Exchange acts solely as a venue where users may post listings and communicate with one another. We are NOT a broker, a retailer or reseller, an auctioneer, a payment processor, or a shipping company. We do not participate in or control transactions between users. Users are solely responsible for pricing, payment arrangements, shipping, local pickup, item inspections, transaction safety, and compliance with applicable laws. We do not guarantee that listings are accurate, that items are authentic, that transactions will be completed, or that transactions will be safe or satisfactory.

Eligibility

You must be at least 18 years old, have the legal authority to enter into agreements, and provide accurate account information. You are responsible for maintaining the confidentiality of your account credentials.

User Responsibilities

5.1 Seller Responsibilities

As a seller, you agree that you own or have the legal right to sell all listed items, your listings must accurately describe the item's condition, you will provide truthful photos and descriptions, you will act in good faith during transactions, you are responsible for complying with applicable tax laws, and you will not misrepresent items or intentionally deceive buyers. 5.2 Buyer Responsibilities

As a buyer, you agree that you are responsible for evaluating listings before purchase, you assume all risks associated with transactions, you should inspect items before purchasing whenever possible, and you understand that The Curriculum Exchange does not guarantee any transaction. 5.3 All Users

All users agree NOT to engage in fraud or deceptive practices, harass or threaten other users, post false listings, attempt to scam or manipulate users, violate any applicable laws, interfere with platform operations, or impersonate another person or organization.

Permitted Listings

The Curriculum Exchange is intended ONLY for legally resellable physical homeschool curriculum and educational materials.

Prohibited Items

The following items may NOT be listed: digital downloads, pirated curriculum, unauthorized copies or reproductions, copyright-infringing materials, shared login credentials, counterfeit products, illegal or stolen goods, weapons or hazardous materials, adult content, services unrelated to homeschool education, and non-educational items unrelated to the Platform's purpose. We reserve the right to remove any listing or suspend any account at our sole discretion.

Intellectual Property & Copyright

Users may only post content and items they legally own or have permission to use. By posting listings, you grant The Curriculum Exchange a non-exclusive, royalty-free license to display listing content and images for purposes of operating and promoting the Platform. 8.1 Copyright Complaints & DMCA

If you believe content on the Platform infringes your copyright, you may contact us at hello@thecurriculumexchange.com. We reserve the right to remove allegedly infringing content and terminate repeat infringers.

Fees & Paid Features

The Curriculum Exchange may charge fees for listing services, featured listings, promotional placement, optional premium features, and other marketplace visibility tools. Fees may vary based on listing type, promotional features, or marketplace activity. All fees are charged solely for platform access, visibility, and promotional services. We do not guarantee sales, buyer interest, listing visibility, or transaction outcomes. All fees are non-refundable unless otherwise stated. Violation of these Terms may result in listing removal or account suspension without refund. We reserve the right to modify pricing or introduce new fees at any time with reasonable notice to users.

Payments Between Users

The Curriculum Exchange does not process, facilitate, hold, transfer, or manage payments between users. All financial transactions occur independently between buyers and sellers outside of the Platform. The Curriculum Exchange's fees are solely for listing access, promotional services, and marketplace visibility features — not for any role in transactions between users. Buyers and sellers are solely responsible for payment methods, shipping arrangements, pickup coordination, refunds, and disputes. We do not offer buyer or seller protection, escrow services, or payment mediation. If you are scammed or a payment dispute arises off-platform, you agree that The Curriculum Exchange has zero financial liability and will not issue refunds for platform fees as a result of any such dispute. Users are solely responsible for reporting and paying any applicable local, state, or federal taxes arising from transactions completed off-platform. The Curriculum Exchange has no tax reporting obligations with respect to transactions between users.

Safety Recommendations

Your safety is important to us. We strongly encourage users to meet in public, well-lit places (police station parking lots are ideal for higher-value items), bring another person to in-person meetups, inspect items before completing transactions, avoid sharing unnecessary personal information, and trust their instincts — if something feels wrong, walk away.

User Disputes

The Curriculum Exchange does not mediate, arbitrate, or resolve disputes between users. If you have a dispute with another user, it is your responsibility to resolve it directly. Reporting a user to us does not create any obligation on our part to take specific action or to compensate you for any losses.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELITE IMAGING GROUP LLC, ITS DBA THE CURRICULUM EXCHANGE, OR THEIR MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY TRANSACTIONS, INTERACTIONS, DECEPTIVE CONDUCT, FRAUD, OR DISPUTES BETWEEN USERS; (C) ANY INACCURATE, ILLEGAL, OR MISLEADING LISTINGS; (D) THE FAILURE OF ANY PARTY TO COMPLETE A TRANSACTION; OR (E) ANY PERSONAL INJURY, PROPERTY DAMAGE, OR HARM ARISING FROM IN-PERSON MEETUPS OR PICKUPS. IN NO EVENT SHALL OUR TOTAL, AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CALIFORNIA CIVIL CODE SECTION 1542 WAIVER: If you are a California resident, you waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

Indemnification and Duty to Defend

You agree to defend, indemnify, and hold harmless Elite Imaging Group LLC (d/b/a The Curriculum Exchange), its parent companies, subsidiaries, affiliates, and each of their respective members, managers, officers, directors, employees, agents, independent contractors, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, awards, costs, and expenses (including reasonable attorneys' fees) arising out of, resulting from, or relating to: (a) your access to or use of the Platform; (b) any listing, content, or media you post; (c) any transaction, interaction, dispute, or relationship you enter into with another user, whether online or in person; (d) your violation or alleged violation of these Terms; (e) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (f) your violation of any applicable local, state, or federal laws, rules, or regulations. This indemnification obligation survives the termination of your account, these Terms, and your use of the Platform.

Account Suspension & Termination

We reserve the right to suspend or terminate accounts at our sole discretion, including for violations of these Terms, fraudulent activity, or abusive behavior. You may close your account at any time by contacting hello@thecurriculumexchange.com. Closing your account does not entitle you to a refund of any fees paid.

Privacy

Your use of the Platform is also governed by our Privacy Policy, available at thecurriculumexchange.com.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in San Bernardino County, California.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between users and The Curriculum Exchange regarding use of the Platform. They supersede any prior agreements or understandings.
